ShipAirweft Technology Agreement & End-User Rights

Effective Date: August 1, 2025

Welcome to ShipAirweft. By accessing or using ShipAirweft’s technology platforms, website, services, and tools (collectively, “ShipAirweft Technology”), you (“you” or “User”) agree to be bound by the following terms and conditions. This Technology Agreement & End-User Rights (“Agreement”) governs your use of ShipAirweft Technology and applies globally unless otherwise specified. By accessing or using the Website, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not accept these terms in full, you must refrain from using the Website.

License & Ownership

1.1 User Eligibility

The Website is provided by ShipAirweft and is intended for use only by individuals or organizations that have reached the age of majority and are legally capable of entering into binding agreements under applicable law. If you do not meet these criteria, you are not authorized to use the Website.

1.2 License Grant

Subject to compliance with this Agreement, ShipAirweft grants you a limited, non-transferable, non-exclusive license to access and use ShipAirweft Technology solely for permitted purposes related to shipping and logistics services.

1.3 Restrictions

You agree not to:

• Share, distribute, modify, reverse-engineer, or decompile any part of the technology.
• Resell, repurpose, or commercially exploit ShipAirweft Technology.
• Develop or offer competing services using any part of the ShipAirweft systems or tools.

1.4 Ownership Rights

All intellectual property rights, including copyrights, trademarks, trade secrets, and related rights in the Website, content, and technology (“Content”) are owned exclusively by ShipAirweft and protected under applicable Canadian and international laws.
You are granted a limited, revocable, non-transferable, and non-sublicensable license to:

• Access and use the Website, Content, and services provided; and
• Use ShipAirweft’s systems and tools only as explicitly permitted.
  No ownership rights or licenses are transferred by this Agreement. Any unauthorized use may lead to termination of access and legal action.

Compliance & Restrictions

2.1 Export Controls

You must comply with all applicable export laws and regulations, including those of your country and others involved in your use of ShipAirweft Technology. You agree not to access or use the Website in sanctioned regions or engage in transactions with prohibited individuals or entities.

2.2 Unauthorized Use

You agree not to:

• Misrepresent the origin or content of communications via the Website.
• Post or transmit false, misleading, or harmful information.
• Introduce viruses, malware, or other harmful code.
• Use the Website beyond permitted activities.
• Interfere with or compromise the Website’s operations or security.
• Frame, mirror, or copy the Website’s content without prior written permission.
• Access restricted areas without proper authorization.

2.3 Confidentiality

You must safeguard any confidential information shared during this Agreement and not disclose it during its term or for five (5) years after termination.

2.4 Submissions

ShipAirweft does not solicit or accept unsolicited ideas, feedback, or proposals (“Submissions”). If you submit such material, you acknowledge that it will not be treated as confidential, and ShipAirweft may freely use, reproduce, or distribute it without obligation.

ShipAirweft’s Rights

3.1 Service Updates & Suspension

ShipAirweft may, at its sole discretion, update, modify, suspend, or terminate your access to its technology for reasons including legal compliance, operational needs, or security concerns.

3.2 Termination

Upon termination or expiration of this Agreement, you must stop using the technology and permanently delete or return all ShipAirweft materials, data, and content.

3.3 Audit Rights

ShipAirweft may audit your use of the technology to ensure compliance with this Agreement.

Liability & Warranties

4.1 No Guarantee

ShipAirweft Technology is provided “as is” without any warranty of uninterrupted service or error-free operation.

4.2 Limitation of Liability

ShipAirweft is not liable for indirect, incidental, consequential, or punitive damages resulting from your use of its services. The total liability under this Agreement is capped at CAD 1,00.

4.3 Regional Rights

Certain local or regional laws may grant additional rights that are not overridden by this Agreement.

Data & Privacy

5.1 Data Collection

ShipAirweft collects and processes personal data to provide services, detect and prevent fraud, and comply with applicable laws.

5.2 Data Sharing

Data may be shared with ShipAirweft affiliates, partners, service providers, shippers, consignees, and relevant authorities as necessary to provide services and meet legal obligations.

5.3 Consent

You must ensure that any personal data shared with ShipAirweft is done with the necessary consent from the individuals involved.

5.4 Service Communications

By using ShipAirweft Technology, you consent to receive service communications, including automated messages, texts, and calls as necessary for operational purposes.

Customer Responsibilities

6.1 Warranties

You warrant that neither you nor your users are located in restricted regions or subject to sanctions that prohibit access or use of ShipAirweft Technology.

6.2 Proper Use

You are responsible for ensuring that your use of the technology complies with applicable laws, including those governing hazardous goods, data protection, and export controls.

6.3 Indemnification

You agree to indemnify and hold harmless ShipAirweft and its affiliates from any claims, damages, or liabilities arising from misuse, unauthorized access, or unlawful activities related to ShipAirweft Technology.

Governing Law & Disputes

7.1 Applicable Law

This Agreement is governed by the laws of Canada, unless regional regulations require otherwise.

7.2 Dispute Resolution

All disputes arising under this Agreement shall be resolved under Canadian law, subject to region-specific rules where applicable.

Force Majeure

Neither party will be liable for delays or failures resulting from causes beyond their reasonable control, including natural disasters, strikes, system failures, or government actions.

Additional Provisions

9.1 Updates to Agreement

ShipAirweft reserves the right to update this Agreement. Continued use of the technology after such updates will constitute your acceptance of the revised terms.

9.2 Entire Agreement

This Agreement, together with the Privacy Policy and applicable regional provisions, constitutes the entire agreement between you and ShipAirweft regarding the use of its technology.
